1. Who these terms apply to
Tread Rep is a tool for businesses. If you sign up on behalf of a company, you confirm that you are allowed to accept these terms for it, and “you” means both you and that company. People invited into a company’s account must follow these terms too. Teams with a separate signed agreement with us are governed by that agreement where it differs from these terms.
2. Accounts
Give accurate information when you sign up, keep your password to yourself, and tell us at support@treadrep.com if you think someone else has used your account. A company’s administrators decide who is on its account, what role each person has, and can remove people at any time. You are responsible for what happens under your company’s account.
3. Free trial
A new account gets a 14-day free trial for up to five people, with no card required. If you do not choose a plan before the trial ends, the account becomes read-only and nothing is charged.
4. Subscriptions, automatic renewal and cancellation
Plans and prices are listed on the pricing page. Payments are processed by Stripe. Plans are billed in advance, monthly or annually, and prices do not include taxes that may apply.
Your subscription renews automatically at the end of each monthly or annual period, and your payment method is charged the then-current price for the next period, until you cancel.
An administrator can cancel at any time from the Billing page of the dashboard. Cancelling stops the next renewal; the plan keeps working until the end of the period already paid for. Payments are non-refundable, and we do not give refunds or credits for partly used periods, except where the law requires. If you subscribe during your trial, the first charge is made when the trial ends.
We may change prices. We will tell account administrators at least 30 days before a new price applies to them, and it will only take effect at the start of a new billing period, so you can cancel first. If a payment fails, the account may become read-only until it is paid.
5. Your data
What your company records in Tread Rep belongs to your company. You give us permission to store, copy, process and display it only as needed to provide Tread Rep to you, to keep it secure, and as described in our Privacy Policy.
You are responsible for the information you put into Tread Rep and for having the right to record it, including your customers’ contact details, photos, and the location of inspections. If your trial ends or your subscription lapses, your records are kept read-only so you can pick up where you left off. An administrator can ask us to delete the company’s records at any time by emailing support@treadrep.com.
6. Tread Rep is a record-keeping tool, not a safety inspection
Tread Rep helps you record and review tire information. Readings, colours, flags, pull points, specifications, wear estimates and reports reflect what was entered and are aids, not guarantees. They do not replace a qualified person’s judgment, the manufacturer’s guidance, or your obligations under Department of Transportation and other safety rules. You remain responsible for decisions about whether a tire or vehicle is safe to operate.
7. Acceptable use
Do not:
- break the law, or record information you have no right to record;
- try to get into accounts, data or systems that are not yours, or test our security without our written permission;
- interfere with the service, overload it, or use automated means to access it except through features we provide;
- copy, resell, or reverse engineer Tread Rep, or use it to build a competing product;
- upload malware or content that is unlawful, harassing or infringing.
We may suspend access that breaks these rules or puts the service or other customers at risk.
8. Our service
We work to keep Tread Rep available and your data safe, and we improve it over time, which means features may change. Keep the app on your phone open and connected from time to time so your work syncs; work that has not synced exists only on that phone. The software, design and brand are ours, and these terms do not give you any rights to them beyond using Tread Rep. If you send us feedback, we may use it without owing you anything.
9. Ending the agreement
You can stop using Tread Rep and cancel at any time. We may suspend or end an account that seriously or repeatedly breaks these terms, or that does not pay, and will give notice where we reasonably can. Sections 5, 6 and 10 to 13 continue to apply after the agreement ends.
10. Disclaimer
Tread Rep is provided “as is” and “as available”. To the fullest extent the law allows, we make no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement, and we do not promise that the service will be uninterrupted or error-free.
11. Limitation of liability
To the fullest extent the law allows, Tread Rep LLC will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, and our total liability for any claim relating to Tread Rep is limited to the greater of the amount you paid us in the 12 months before the claim arose or 100 US dollars.
12. Indemnity
You will defend and compensate Tread Rep LLC for claims by third parties arising from the information you record in Tread Rep or your breach of these terms.
13. Law and disputes
These terms are governed by the laws of the State of Utah, without regard to its conflict-of-law rules. Any dispute will be heard in the state or federal courts located in Utah, and both sides agree to those courts’ jurisdiction. Before going to court, please email support@treadrep.com so we can try to resolve it.
14. The App Store
If you downloaded the Tread Rep app from Apple’s App Store:
- These terms are between you and Tread Rep LLC, not Apple, and we, not Apple, are responsible for the app and its content.
- Apple has no obligation to provide maintenance or support for the app.
- If the app fails to meet an applicable warranty, you may notify Apple, and Apple will refund the purchase price for the app, if any. Apple has no other warranty obligation for the app.
- We, not Apple, are responsible for handling any claims relating to the app, including product liability claims, claims that it fails to meet a legal or regulatory requirement, and consumer protection claims.
- We, not Apple, are responsible for investigating and resolving any claim that the app infringes someone’s intellectual property.
- You confirm that you are not in a country subject to a US government embargo and are not on a US government list of prohibited or restricted parties.
- You must also follow the App Store’s terms of use. Apple and its subsidiaries are third-party beneficiaries of these terms and may enforce them against you.
15. Changes to these terms
We may update these terms. We will change the date at the top, and for material changes we will tell account administrators by email or in the product at least 30 days before they take effect. Continuing to use Tread Rep after that means you accept the new terms.
16. General
If part of these terms cannot be enforced, the rest still applies. Not enforcing a term is not a waiver of it. You may not transfer these terms without our consent; we may transfer them as part of a sale or merger of the business. These terms and the Privacy Policy are the whole agreement between us about Tread Rep, except where a separate signed agreement says otherwise.
